Publisher Terms

How we work with independent publishers whose inventory we represent. You stay in control of what is available, the rates and the final approval.
The relationship
These terms apply when The Ad Mart represents your advertising inventory — newsletter sponsorships, podcast advertising, website placements, sponsored features, directories and similar. We act as a non-exclusive sales partner. You remain the publisher: you decide what is available, you approve every advertiser and you run the placement.
What you provide
- An accurate inventory sheet describing each placement, its audience, its specifications and its rate. Our documentation shows the format.
- Advertiser rules — categories you decline, competitors you exclude, disclosure wording you require.
- Timely approval of advertisers and creative, and delivery of the placement on the agreed date.
- Proof of delivery within five business days of the placement running (a screenshot, link, download count or send report).
What we provide
- Packaging of your inventory into clear, easy-to-buy placements and campaigns.
- Introduction of suitable advertisers who meet our Advertising Standards and your rules.
- Handling of the sales conversation, the creative, the specifications and the paperwork.
- Prompt payment, as described below.
Rates and commission
You set your rates. Unless agreed otherwise in writing, we add our commission on top of the rate you set, so you receive the full rate you named for every placement we sell. Where you prefer a single “rate card” price that includes our commission, we will state the split in writing before anything is sold.
We may offer packaged pricing across several publishers. A package never reduces the amount payable to you for your placement below the rate you approved.
Payment
We invoice the advertiser and collect payment. We pay you within 15 days of the later of: the placement running, and our receipt of your proof of delivery. Payment is made by bank transfer to the account you nominate. If an advertiser fails to pay us we will still pay you for a placement that has run, provided the advertiser was approved by you and the proof of delivery was supplied.
Approvals and cancellations
- You may decline an advertiser or creative before it runs without penalty.
- Once you have approved a placement and it is booked, you agree to run it on the agreed date. If you cannot, tell us as early as possible; we will reschedule or offer the advertiser an alternative.
- If a placement fails to run through no fault of the advertiser, no fee is payable for it and any prepaid amount will be refunded to the advertiser.
- Either party may end this relationship with 30 days’ written notice. Placements already booked will be honoured.
Content and disclosure
Sponsored content will be labelled in line with your editorial standards and applicable law. We will supply the creative in the format you require and will not ask you to publish anything that misrepresents itself as independent editorial.
You confirm that you have the right to sell the inventory you list and that the audience figures you provide are accurate and current.
Confidentiality and data
We keep your rates, audience data and advertiser list confidential and use them only to sell your inventory. We do not share your subscriber or listener data with advertisers, and we do not ask you to share it with us beyond aggregate figures.
Liability
Each party’s liability to the other under these terms is limited to the fees payable for the placement concerned, except for liability that cannot be limited by law. Neither party is liable for indirect or consequential loss.
General
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there. We may update these terms with 30 days’ notice; continued listing of your inventory after that date is acceptance of the updated terms. Questions can be sent through our contact form.
